ACHIEVEMENTS

 

EQuaNet  since 1995 concept of marketing value maximization through technology, strategic planning and careful execution.  This was support by the development of proprietary financial reporting and analysis technology in the areas of Cash Flow Forecasting, Strategic Planning, Customer Profitability Modeling, Category Management, and Value Enhance Modeling software.   EQuaNet has serviced clients all over the US in many different projects: Corporate development, merger and acquisition and specialized structured funding  strategies, incentive design; strategic planning, sales commission structures, operational efficiency issues and marketing effectiveness issues like: landed  $8.5 million of new business while improving margins and operating efficiencies; developed a Mergers and Acquisition Seminar for clients.

 

Predicted Internet based intelligent purchasing systems or exchanges in 1995 and applications service providers ASP’s.   In 1995, predicted within 10 years the conversion to intelligent agents Internet enhanced EDI procurement, now food exchanges are beginning to appear.  Designed the next phase of the Distributor Modeling System to be Internet based and thereby become and extension of the client’s information processing and reduce costs while improving decision making via intelligent management information.

 

As a key member of the senior staff at SYSCO Food Service of Syracuse, VP of Finance and CFO,  - concerned about productivity and employee skill set development,  designed  a project plan and secured funding authorization, hired a training and consulting team  who helped designed the client server network.  Developed internship programs with Syracuse University to support the training programs long term.  The results were outstanding both in morale and productivity.  Developed and successfully executed a plan to reduce working capital by $3.0 million.

 

While Vice President and CFO of a $70 million company, (Bevaco Foodservice) managed 3 ownership changes in the 1st year.  Sold Bevaco to IU, Inc. (Philadelphia).  A corporate raider attacked IU. Helped form a management led Leveraged Buy-out Group, pooled our resources, fought off “White Nights” and acquired the $560 million division for $205 million, at approximately 11 times EBITDA.  Developed the financial engineering and planning models and proceeded to Wall Street.  Three components of the division were (Biggers Bros., Roanoke Restaurant Service, and Bevaco Foodservice) together could only support a purchase price of $180 million with the available equity.  I suggested finding a manufacturer who would be willing to invest in the LBO.  Sara Lee ultimately provided $30 million in PIK Preferred as a strategic offensive in the Carolina’s.  Met with Chase Manhattan’s “High Yield Group”, (Kathryn Marshall, - Managing Director) in New York and sold the deal.

 

 

While Director of Corporate Development, Unifax, Inc. (US Foodservice) - purchased Kings Foodservice in Lexington, KY, (for $6 million in cash).  The strategy was to fold in the volume in to our Knoxville location and shut down the warehousing facility in Lexington.  Had to merge these two operations together in very short order.  Found excellent guidance from the control method developed by the Hay Group to merge Schlitz, Schaffer and Stroh’s in 18 months.  It was highly successful in spite of different sales compensations plan, workforce skills, product lines etc.

 

Unifax - accepted the responsibility of creating a single support infrastructure from multiple infrastructures, to attain synergies between the companies and ultimately leverage earnings.  This project addressed common item numbers, common sales support systems, common financial & operational reporting structures, (and decision making systems) and information technology software and hardware platforms.

 

Recruited to be a key member on the IPO team by the CFO.  Needed to raise $50 million in a public offering to de-leverage the banks and support on going operations - Was personally responsible for writing 50% of the Security & Exchange Commission’s Registration Statement “S1” and management of the SEC comments.  Interfaced directly with the attorneys, accountants, and investment bankers and on a one occasion the Deputy Director of the SEC.  As a stockholder and secretary of the corporation this event had major significance for me.

 

Helped lead a manufacturing firm into a new era with respect to new product development.  Developed a discounted cash flow return on investment (DCFROI) model for new product development taking into consideration not only fixed capital consumption but in addition working capital consumption.  Today one of the products we developed through this process makes up 50% or $250 million of the firm’s sales.

 

Surpassed my goal set at graduation from PSU: Goal: Attain an MBA and break the threshold of senior management in ten years.  Accomplished the goal in 9 years.

 

EXPERIENCE

Equanet, Inc., Syracuse, NY, Small                                                                                         1995 to Present

Chief Executive Officer and Owner of the Company.  Started the company to do serve the smaller/under capitalized companies compete with the Mega Distributors.  Built sales, marketing and food operations programs for client companies. Designed and developing Internet based ASP services tailored to customer demand.  Developed an internship program with Syracuse University and my first graduate through the program has recently been accepted at Yale MBA school.

 

SYSCO Food Service of Syracuse, Syracuse, NY, $150 million in Sales Volume                   1992 to 1995

Vice President of Finance & CFO recruited to support the operation due to its growth potential.  The CFO position was new to this company.  Managed 45 people indirectly through 5 direct reports. Focused, as always, on creating an environment were all employees with the company could grow to their greatest potential.    Reviewed and analyzed warehousing management systems to improve productivity in the warehouse. Created a new awareness of the need for communication and engendered week senior staff meetings.   Completely redesigned incentive compensation programs for my direct reports and indirect reports.

 

Unifax, Inc., Wilkes Barre, PA, $800 million in Sales                                                                    1987 to 1991

Director of Corporate Development and Secretary of the Corporation and Stockholder as well as Vice President and Assistant Secretary of Biggers Bros., Roanoke Restaurant Service and Kings Foodservice. (1990to 1991) was responsible for mergers and acquisitions and developing the technological infrastructure between the companies.  Acquired Kings Food Service and integrated the company by merging it with out Knoxville operations.  Built a Cash & Carry operation to support the sales staff and the walk in business.  Developed a long range MIS strategic plan to leverage the synergies.  Vice President & Chief Financial Officer, Bevaco Food Service, a wholly owned subsidiary of Unifax, (1987 to 1990) restructured financial reporting, designed and implemented a flexible benefit program, installed a new data base package, designed many new incentive systems for direct and indirect reports. Designed and implemented a decision support system that simulated executive decisions and the impact down to executive incentive compensation.

 

The Knoll Group, East Greenville, PA, $300 million                                                                    1984 to 1987

Manager of Cost and Financial Analysis – responsibilities included: strategic planning, standard cost control, statistical analysis and reporting, operational forecasting and the implementation of a 4th generation language called FOCUS on our info-center machine.  As a key member of the financial team - assisted the Corporate Reporting manager in the filing of 10K’s, 10Q’s, and other SEC reporting requirements. Responsible for the analysis and recommendation of all major strategic issues including but not limited to: new product introductions, product line restructuring, logistical planning, warehousing management, working capital management issues and the integration of our recent acquisition in Montreal, Canada.
